You’re selling your company
«I’ve had an offer for my company.»
What you keep from the sale is decided before you sign. How the company is structured on that day, how the price is agreed and what you do with the cash afterwards matter as much as the figure on the offer.
What to decide first
- Whether you sell as an individual or through a holding company, and how far ahead it needs to be in place.
- Whether you sell the shares or the company’s assets.
- How much of the price you receive at closing and how much is deferred or tied to results.
- What warranties you give the buyer, and for how long.
- What you will do with the money, and where it should sit on the day it arrives.
How we work on it
We review the company the way the buyer will, put the structure in order before negotiations start and stay with you until closing: due diligence, contract and terms. Then we plan the reinvestment with you, so that the sale and what comes after are one decision.
Mistakes we often see
- Setting up the holding company with the offer already on the table, when there is no longer time for it to protect you.
- Negotiating only the price and neglecting the warranties and deferred payments.
- Getting paid first and deciding what to do with the cash later.
Frequently asked questions
How far ahead should I prepare the sale?
As early as you can. Some structures need time before the Spanish tax authorities accept them, so ideally you start as soon as you consider selling, even with no offer yet.
Is it better to sell through a company?
It depends on what you will do with the money. If you plan to reinvest, it usually makes sense; if you need it personally, the numbers change. We work it out with your figures.
